1. Important Notice
Welcome to AllyNext. By accessing, logging in to, or using the AllyNext website, software, and related services, you confirm that you have read, understood, and agreed to these Terms of Service. If you do not agree, please stop using the service.
In these terms, “we,” “us,” and “AllyNext” refer to the service operator, while “you” refers to the person or organization using the service.
2. Eligibility
You must be at least 18 years old and legally able to enter into these terms. If you are under 18, you may use the service only with the consent and supervision of a parent or legal guardian. You represent that your use of the service complies with applicable law.
3. Service Description and License
AllyNext provides AI assistant, content analysis, knowledge organization, workflow collaboration, and related digital tools. Features and availability may change over time. Subject to these terms, we grant you a limited, non-exclusive, non-transferable license to access and use the service for its intended purpose.
You may not copy, modify, reverse engineer, rent, resell, scrape, or commercially exploit the service except as expressly permitted by law or by us in writing.
4. Accounts and Security
You must provide accurate information and keep your login credentials and session information confidential. Activity through your account is treated as your activity unless you can show unauthorized use. Notify us promptly if you discover unauthorized access or a security issue.
5. User Content and Intellectual Property
You are responsible for content that you submit to or generate through the service and must have all rights and permissions needed to use it. Your content must not infringe intellectual property, privacy, publicity, confidentiality, or other rights.
You retain rights you lawfully hold in your content. You grant AllyNext a limited, worldwide, non-exclusive, royalty-free license to host, store, process, and display that content as necessary to provide and secure the service. AllyNext and its licensors retain all rights in the service, software, interfaces, branding, and documentation.
6. AI-Generated Content
AI outputs may be inaccurate, incomplete, inappropriate, unexpected, or similar to outputs generated for others. We do not guarantee that an output is unique, error-free, suitable for a particular purpose, compliant with a third-party platform, or free of third-party claims. You must review outputs before using, publishing, or commercializing them and are responsible for your final use.
7. Third-Party Services
The service may connect to third-party platforms or tools. Those providers are responsible for their own services, terms, privacy policies, and rules. You are responsible for complying with them. We are not responsible for third-party outages, account restrictions, content decisions, or policy changes outside our reasonable control.
8. Acceptable Use
You may not use the service to violate law or platform rules; infringe rights; create or distribute harmful, fraudulent, deceptive, hateful, violent, sexually explicit, or discriminatory content; impersonate others; upload malware; attack, overload, crawl, or bypass security or usage limits; manipulate engagement; or use content you are not authorized to use.
9. Paid Services and Subscriptions
AllyNext may offer memberships and other paid features. Prices, billing periods, included benefits, and usage limits are shown at checkout. Unless stated otherwise, memberships do not renew automatically. Payment processing is handled by the selected payment provider, and taxes, fees, or currency conversion charges may apply.
10. Availability and Changes
We use reasonable efforts to keep the service available and secure, but do not guarantee uninterrupted, error-free, or vulnerability-free operation. Maintenance, upgrades, network failures, third-party outages, model limitations, payment issues, and events beyond our reasonable control may affect availability. We may modify, limit, suspend, or discontinue features, prices, or integrations as permitted by law.
11. Suspension and Termination
You may stop using the service at any time. We may suspend or terminate access for breach of these terms, unlawful conduct, non-payment, infringement, fraud, abuse, security risks, or conduct that harms AllyNext, users, third parties, or the public interest. Provisions concerning content, payment, refunds, intellectual property, disclaimers, liability, and disputes survive termination.
12. Disclaimer
The service is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim implied warranties including merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, and availability. We do not guarantee a particular business result, sales increase, platform approval, or absence of errors.
13. Limitation of Liability
To the maximum extent permitted by law, AllyNext is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, lost profits, lost data, or losses caused by matters outside our reasonable control. Nothing in these terms excludes liability that cannot legally be excluded.
14. Indemnification
To the extent permitted by law, you agree to defend and indemnify AllyNext, its affiliates, officers, employees, service providers, and partners against claims, losses, liabilities, costs, and expenses arising from your use of the service, your content, your violation of these terms or law, or your infringement of third-party rights.
15. Privacy
We process personal information according to the AllyNext Privacy Policy. By using the service, you acknowledge that you have read and understood that policy.
16. Changes to These Terms
We may update these terms to reflect business, technical, legal, or service changes. Material changes will be communicated through reasonable means. The updated terms take effect on the stated effective date. Continued use after that date means you accept the updated terms unless applicable law requires a different form of consent.
17. Governing Law and Disputes
Unless mandatory law provides otherwise, these terms are governed by the laws of the State of California, United States. The parties will first try to resolve disputes through good-faith communication. If a dispute cannot be resolved, it may be submitted to a court with appropriate jurisdiction. Mandatory consumer protections remain unaffected.
